A. Individual Continuing Education Course(s) Purchase Terms & Conditions

1. Curriculum
Continuing education graduate level courses completed through Learners Edge and your chosen accredited University Partner are intended to fulfill requirements for license renewal and/or salary advancement.  Learners Edge courses have proven successful for contractual lane changes in thousands of districts in the United States. Districts and states have different requirements for license renewal and salary advancement; you may need to check with district personnel to gain prior approval.   

2. Session Details

Spring Session: Coursework due April 15 - or next business day 

Summer Session: Coursework due August 15 - or next business day 

Fall Session: Coursework due November 15 - or next business day 

You are responsible for completing your course within the session for which you registered.  

Please note: you may register for and complete up to 15 credits per session (dependent upon University Partner selection).

3. Payment Terms

You agree that you will pay for use of the System and for all courses in which you enroll through the Site, and that Learners Edge may charge/debit your credit card or other designated payment method for any System use or course enrollment, and for any additional amounts (including any taxes, fees, or other charges) that may be accrued by or in connection with your use of the System or course enrollment.  The total price to you for System use or course enrollment will include applicable taxes, if any, based on the bill-to address provided by you. Given the nature of digital content, all sales are final.   

You are responsible for the timely payment of all fees and for providing Learners Edge with a valid payment method for payment. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.

Please be aware, full payment must be received within your selected term window to earn credit and a grade for all registered courses. Regardless of grade earned, full payment is required. Incomplete or failed payment(s) will not constitute a void or cancellation of your registration. If you are registered for courses beyond the 30-day cancellation window, you are financially responsible for full course payment.  

4. Individual Continuing Education Course Cancellation & Refund Policy

Without limiting any of the forgoing, our refund policy lasts 30 days.  To be eligible for a refund or credit (as further described below), you must notify us in writing within 30 days of registering for a course at support@learnersedge.com with the stated reason for your cancellation.  Unfortunately, we cannot offer you a refund or further credit toward Learners Edge courses if 30 days have passed since you have registered for a course.  

If you are requesting a refund, your refund will be processed, less a $50 per course cancellation fee, and a credit for the remaining amount will be applied to your credit card or original method of payment within 30 days of approval of your request.  

If you are requesting credit toward another Learners Edge course, we will be happy to assist you in enrolling in a course that you believe will better suit your needs for no additional fee, provided that the substituted course is of the same type and credit.  You are responsible for any additional costs or fees applicable to a substituted course. 

If you are unable to complete the course in the session elected at registration, you may elect to use the one-time re-registration option for your course. If utilizing this option, you are responsible for a re-registration fee of $50 per credit, per course to enroll in a future session. Please note, the re-registration option is available for up to one year from your original registration date.   

Learners Edge reserves the right to deny any refund or credit request in its sole discretion. 

B. Course Bundles Purchase Terms & Conditions 

3 Course American College of Education Bundle 

1. Curriculum

Continuing education graduate level courses completed through Learners Edge and American College of Education the accredited University Partner are intended to fulfill requirements for license renewal and/or salary advancement. Learners Edge courses have proven successful for contractual lane changes in thousands of districts in the United States. Districts and states have different requirements for license renewal and salary advancement; you may need to check with district personnel to gain prior approval.

2. Session Details

Summer Session: Coursework due August 15 - or next business day 

Fall Session: Coursework due November 15 - or next business day 

Spring Session: Coursework due April 15 - or next business day 

You are responsible for completing your course(s) within the session for which you selected your course(s). You have 12 months to select your 3 courses. You can select from more than 115 3-credit courses approved by American College of Education.

Please note Fast Track, Blended Learning, and On-Site courses are not eligible for bundle purchases.

Please note you may register for and complete up to 15 credits per session (dependent upon University Partner selection).

You agree that you will pay for use of the System and for all courses in which you enroll through the Site, and that Learners Edge may charge/debit your credit card or other designated payment method for any System use or course enrollment, and for any additional amounts (including any taxes, fees, or other charges) that may be accrued by or in connection with your use of the System or course enrollment.  The total price to you for System use or course enrollment will include applicable taxes, if any, based on the bill-to address provided by you.  Given the nature of digital content, all sales are final. 

Regardless of grade earned, full payment is required. Incomplete or failed payment(s) will not constitute a void or cancellation of your registration.

You are responsible for the timely payment of all fees and for providing Learners Edge with a valid payment method for payment. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.

You may register for a second ACE 3 Course Bundle upon successful completion of all Bundle payments and course selections in your first Bundle.  

A. Pay in Full Overview

You are agreeing to make 100% payment for the bundle product and declining to enroll in the Pay as You Learn payment plan.

B. Pay as You Learn Payment Plan

You have selected the Learners Edge Payment Plan - Pay as You Learn. You agree to make 100% payment for your purchased bundle product over 12 monthly payments. 

By selecting the Pay as you Learn payment plan, you agree to pay monthly payments of $99.00 for 12 months.  You will receive monthly payment confirmation statements via e-mail and can access payment receipts within your Account by selecting Orders. A $15 late fee for each missed payment(s) due to credit card or debit card processing errors will be assessed. Learners Edge will waive your first missed payment fee if it is corrected and paid within seven business days.  

You may choose to pay in full your outstanding balance at any time within the 12-month payment plan window. 

You may select a Learners Edge Pay as You Learn Payment Plan for 2 bundle purchases during each/a 12-month period. You are limited to selecting 1 Learners Edge Pay as You Learn payment plan for Bundle registrations per order. You may have up to 2 separate and active Pay as You Learn payment plans at any time. 

4. Bundle Cancellation & Refund Policy 

Cancellations received in writing via email or chat within 30 days will be eligible for a refund. Your refund will be processed, less a $150 Bundle cancellation fee. Credit for the remaining amount will be applied to your credit card or original method of payment within 30 days. No refunds will be made for cancellations received 30 days after your purchase date. If you selected the Pay as you Learn payment plan and your cancellation was received 30 days after your purchase date your obligation to complete your 12 monthly payments remains. Learners Edge reserves the right to suspend indefinitely any account that has missed 2 or more consecutive payments or is delinquent for 45 consecutive days.  

If you are unable to complete the course in the session elected at registration, you may elect to use the one-time re-registration option for your course. If utilizing this option, you are responsible for a re-registration fee of $150 per course to enroll in a future session. Please note, the re-registration option is available for up to one year from your original registration date. 

In the event the payment plan is not completed in its entirety, you will be charged the adjusted course price of $459 per course plus a $50 per course cancellation fee to have any course grade(s) reported.  

5. Course Grade Reporting

A. Grade Reporting: Pay in Full

First Course - Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date. 

Second Course - Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date. 

Third Course – Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date. 

B. Grade Reporting: Pay as You Learn Payment Plan

First Course - Your course grade will be available upon successful completion of your course, 5 monthly payments, and in alignment with your session grade reporting date.  

Second Course - Your course grade will be available upon successful completion of your course, 9 monthly payments, and in alignment with your session grade reporting date.  

Third Course Your course grade will be available upon successful completion of your course, completion of all payments and in alignment with your session grade reporting date. 

5 Course Lane Change Bundle 

1. Curriculum

Continuing education graduate-level courses completed through Learners Edge and the accredited University Partner are intended to fulfill requirements for license renewal and/or salary advancement. Learners Edge courses have proven successful for contractual lane changes in thousands of districts in the United States. Districts and states have different requirements for license renewal and salary advancement; you may need to check with district personnel to gain prior approval.

Summer Session: Coursework due August 15 - or next business day 

Fall Session: Coursework due November 15 - or next business day 

Spring Session: Coursework due April 15 - or next business day

You are responsible for completing your course(s) within the session for which you selected your course(s). You have 12 months to select your 5 courses. You can select from more than 100 3-credit courses approved by participating university partners.

Please note Fast Track, Blended Learning, and On-Site courses are not eligible for bundle purchases.

Please note, you may register for a maximum of 15 credit hours per session. Additionally, you may register for a maximum of 45 credit hours over three consecutive sessions. University Partner selection may not be changed once registration is complete.  

3. Payment Terms

You agree that you will pay for use of the System and for all courses in which you enroll through the Site, and that Learners Edge may charge/debit your credit card or other designated payment method for any System use or course enrollment, and for any additional amounts (including any taxes, fees, or other charges) that may be accrued by or in connection with your use of the System or course enrollment.  The total price to you for System use or course enrollment will include applicable taxes, if any, based on the bill-to address provided by you.  Given the nature of digital content, all sales are final.

No refunds will be made for cancellations received 30 days after your purchase date. If you selected the Pay as you Learn payment plan and your cancellation was received 30 days after your purchase date, your obligation to complete your 12 monthly payments remains. Learners Edge reserves the right to indefinitely suspend any account that has missed 2 or more consecutive payments or is delinquent for 45 consecutive days.

If you are unable to complete the course in the session elected at registration, you may elect to use the one-time re-registration option for your course. If utilizing this option, you are responsible for a re-registration fee of $150 per course to enroll in a future session. Please note, the re-registration option is available for up to one year from your original registration date.

5. Course Grade Reporting

A. Grade Reporting: Pay in Full

First Course - Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date. 

Second Course - Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date. 

Third Course – Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date. 

Fourth Course - Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date.

Fifth Course – Your course grade will be available upon successful completion of your course and in alignment with your session grade reporting date.

B. Grade Reporting: Pay as You Learn Payment Plan

First Course - Your course grade will be available upon successful completion of your course, 3 monthly payments, and in alignment with your session grade reporting date.  

Second Course - Your course grade will be available upon successful completion of your course, 5 monthly payments, and in alignment with your session grade reporting date.  

Third Course Your course grade will be available upon successful completion of your course, 7 monthly payments, and in alignment with your session grade reporting date. 

Fourth Course Your course grade will be available upon successful completion of your course, 10 monthly payments, and in alignment with your session grade reporting date. 

Fifth Course Your course grade will be available upon successful completion of your course, completion of all payments and in alignment with your session grade reporting date. 

6. University Partner Selection

In the event that Learners Edge and the university partner you selected discontinue a working partnership, you will need to select a new university partner from our active university partner list. You will be responsible for any price increase and may be eligible for a refund based on the new bundle price associated with your updated university partner selection. 

C. KnowHow Series Program(s) Purchase Terms & Conditions

1. KnowHow Series experiences consist of both onsite event components and graduate-level continuing education credit course(s) that have both online and in-person components. Program pricing is based on several factors such as location, duration of hotel stays, room occupancy type, meal(s) and academic program inclusions. Registration includes hotel night(s) that cannot be removed from your KnowHow pricing package. You will earn 3 credits for successful completion of the KnowHow course.

2. Curriculum
Graduate-level continuing education courses completed through Learners Edge and your chosen University Partner are intended to fulfill requirements for license renewal and/or salary advancement.  Learners Edge courses have proven successful for contractual lane changes in thousands of districts within the United States. States and districts have different requirements for license renewal and salary advancement; you may need to check with district personnel to gain prior approval.   

You are responsible for completing course(s) within the same session your KnowHow Series occurs.  

Please note, you may register for and complete up to 15 credits per session (dependent upon University Partner selection).

3. Event Requirements

KnowHow Series program(s) consist of required onsite learning sessions that must be attended to receive a grade and to issue graduate credit from an approved university partner. To earn a letter of completion and be eligible for course credit, you are required to attend all in person sessions and complete the required self-paced online work.

4. Payment Terms

100% of your KnowHow Series program fees are due at registration. This includes a $199 nonrefundable deposit.

You agree that you will pay for the KnowHow on-site experience, use of the System, and for all course(s) in which you enroll through the Site, and that Learners Edge may charge/debit your credit card or other designated payment methods for any System use or course enrollment, and for any additional amounts (including any taxes, fees, or other charges) that may be accrued by or in connection with your use of the System or course enrollment.  The total price to you for your KnowHow Series and use of the System, and course enrollment will include applicable taxes, if any, based on the bill-to address provided by you.

You are responsible for the timely payment of all fees and for providing Learners Edge with a valid payment method for payment. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.

Full payment must be received to earn credit and a grade for all graduate-level continuing education course(s), regardless of grade earned. Incomplete or failed payment(s) will not constitute a void or cancellation of your registration.

4. KnowHow Series Cancellation & Refund Policy

KnowHow Series programs are in-person learning engagement events with limited capacity. All cancellations must be received in writing to support@learnersedge.com and must include the reason for cancellation, full name, and email address used for registration. Cancellations are considered effective on the date your email is received.

Cancellations received greater than 75 days prior to the start of a KnowHow Series program will receive a full refund less the $199 non-refundable deposit.

Cancellations received between 75 days and 45 days prior to the start of a KnowHow Series program will receive a refund equal to 25% of the total KnowHow Series program price.

Cancellations received less than 45 days prior to the start of a KnowHow Series program are not eligible for a refund.

In the rare event that a KnowHow Series program is canceled for any reason other than a force majeure event registered participants will be entitled to a full refund of program fees paid. Participants that canceled prior to this program cancel date will not be eligible for a refund.

5. Force Majeure

Learners Edge assumes no responsibility for events beyond its reasonable control, including, but not limited to, acts of God, war (whether declared or not), terrorist or criminal activities, strikes, civil unrest, government restrictions, lost or stolen belongings, illness, dangers associated with animals, sanitation problems, food poisoning, lack of or quality of medical care, or actual, perceived, or threatened epidemics. Learners Edge shall not be responsible for personal or bodily injury, loss, or damage from any event caused by persons or companies not directly or indirectly controlled by Learners Edge, including without limitation bus companies, railways, hotels, subcontracted agents, or tour operators, except to the extent of Learners Edge’s negligence or willful misconduct in selecting and contracting with such persons or companies.

D. Individual Continuing Education Non-Credit Course(s) Purchase Terms & Conditions 

1. Curriculum

Continuing education graduate-level non-credit courses completed through Learners Edge are intended to fulfill requirements for license renewal. Please note, non-credit courses do not receive a transcript. Non-credit courses receive a Letter of Completion noting hours of completion only. 


2. Session Details

Spring Session: Coursework due April 15 - or next business day  

Summer Session: Coursework due August 15 - or next business day  

Fall Session: Coursework due November 15 - or next business day  

You are responsible for completing your course within the session for which you registered.   

3. Payment Terms

You agree that you will pay for use of the System and for all courses in which you enroll through the Site, and that Learners Edge may charge/debit your credit card or other designated payment method for any System use or course enrollment, and for any additional amounts (including any taxes, fees, or other charges) that may be accrued by or in connection with your use of the System or course enrollment.  The total price to you for System use or course enrollment will include applicable taxes, if any, based on the bill-to address provided by you. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.

Please note, full payment must be received within your selected term window for all registered courses.  Incomplete or failed payment(s) will not constitute a void or cancellation of your registration. If you are registered for courses beyond the 30-day cancellation window, you are financially responsible for full course payment.   

Please note that non-credit courses are not eligible for group purchases or any promotions including our new customer promotion. 

4. Individual Continuing Education Non-Credit Course Cancellation & Refund Policy

Without limiting any of the foregoing, our refund policy lasts 30 days.  To be eligible for a refund or credit (as further described below), you must notify us in writing within 30 days of registering for a course at support@learnersedge.com. Unfortunately, we cannot offer you a refund or further credit toward Learners Edge courses if 30 days have passed since you have registered for a course. You are responsible for a re-registration fee of $75 if you change your course session after 30 days of your initial purchase date. 

If you are requesting a refund, your refund will be processed, less a $50 per course cancellation fee, and a credit for the remaining amount will be applied to your credit card or original method of payment within 30 days of approval of your request.   

If you are requesting credit toward another Learners Edge course, we will be happy to assist you in enrolling in a course that you believe will better suit your needs for no additional fee, provided that the substituted course is of the same type.  You are responsible for any additional costs or fees applicable to a substituted course.  

If you are unable to complete the course in the session elected at registration, you may elect to use the one-time re-registration option for your course. If utilizing this option, you are responsible for a re-registration fee of $75 per course to enroll in a future session. Please note, the re-registration option is available for up to one year from your original registration date. 

Learners Edge reserves the right to deny any refund or credit request in its sole discretion.  

 5. Credit Upgrade Option

Learners Edge courses have proven successful for contractual lane changes and salary advancement in thousands of districts in the United States. Districts and states have different requirements for license renewal and salary advancement; you may need to check with district personnel to gain prior approval.    

For each non-credit course completed, you have the option to upgrade and receive a transcript for credit by selecting an accredited University Partner and paying the additional upgrade charge. The credit upgrade must be purchased within six months of the end date for the session in which you completed your course. Contact our Support Team via phone or chat to process payment and upgrade to credit with a University Partner.  

Credit upgrade pricing is the difference between what was paid for the non-credit course and graduate credit pricing at the time of the upgrade. Upgrade fees are non-refundable once purchased. Please note, credit upgrade fees are in addition to registration fees. Group, multi-course, and promotional discounts are not available on credit upgrade purchases.

E. Individual Professional Development Course(s) Purchase Terms & Conditions 

1. Curriculum

Professional development courses completed through Learners Edge are intended for use as professional growth and/or to fulfill requirements for license renewal. Districts and states have different requirements for license renewal; you may need to check with district personnel to gain prior approval. Professional development courses are considered complete when the participant has taken the final assessment and scored a passing score. This will release the letter of completion to document hours earned which can be found in the participant’s account. 

2. Session Details

Summer Session: Coursework due August 15 - or next business day 

Fall Session: Coursework due November 15 - or next business day 

Spring Session: Coursework due April 15 - or next business day

You are responsible for completing your course(s) within the session for which you registered.

4. Individual Professional Development Course Cancellation & Refund Policy

Without limiting any of the foregoing, our refund policy lasts 30 days. To be eligible for a refund or credit (as further described below), you must notify us in writing within 30 days of registering for a course at support@learnersedge.com with the stated reason for your cancellation. Unfortunately, we cannot offer you a refund or further credit toward Learners Edge courses if 30 days have passed since you have registered for a course or you have completed your course.  

If you request a refund, your refund will be processed, less a $25 per course cancellation fee, and a credit for the remaining amount will be applied to your credit card or original method of payment within 30 days of approval of your request.  

If you are requesting credit toward another Learners Edge course, we will be happy to assist you in enrolling in a course that you believe will better suit your needs for no additional fee, provided that the substituted course is of the same type and hours. You are responsible for any additional costs or fees applicable to a substituted course. 

Learners Edge reserves the right to deny any refund or credit request in its sole discretion. 

F. Professional Development (“PD”) All-Access Package Terms & Conditions 

1. Curriculum

The Learners Edge All-Access PD Package is a 12-month all-access pass to our extensive professional development library of 2 to 10-hour courses plus our state-specific professional development courses. Participants can earn hundreds of hours of professional learning through high-quality relevant content featured in a variety of topical courses which are asynchronous, online, and allow for personalization of professional learning. Courses are resource-rich with journaling activities and an end-of-course assessment. 

Professional development courses completed through Learners Edge are intended for use as professional growth and/or to fulfill requirements for license renewal. Districts and states have different requirements for license renewal; you may need to check with district personnel to gain prior approval. Professional development courses are considered complete when the participant has taken the final assessment and scored a passing score. This will release the letter of completion to document hours earned which can be found in the participant’s account. 

2. Session Details

You will have access to and may complete your PD All-Access Package professional development courses for up to one year from your purchase date. 

You are responsible for completing your courses within 12 months of your registration date.

Regardless of course completion status, full payment is required. Incomplete or failed payment(s) will not constitute a void or cancellation of your registration. If you are registered for courses beyond the 30-day cancellation window, you are financially responsible for full course payment.  

4. Professional Development (“PD”) All-Access Package Cancellation & Refund Policy  

Without limiting any of the foregoing, our refund policy lasts 30 days. To be eligible for a refund or credit (as further described below), you must notify us in writing within 30 days of registering for a course at support@learnersedge.com with the stated reason for your cancellation. Unfortunately, we cannot offer you a refund or further credit toward Learners Edge courses if 30 days have passed since you have registered for a course or you have completed your course. Please note, cancellation is not available if two or more Package courses are completed. 

If you request a refund, your refund will be processed, less a $100 cancellation fee, and a credit for the remaining amount will be applied to your credit card or original method of payment within 30 days of approval of your request.  

Learners Edge reserves the right to deny any refund or credit request in its sole discretion.

Learners Edge wants to do everything possible to provide you with quality, impactful professional development.  We want our customers to be happy, because when you’re happy, we’re happy! Below are the policies we have in place to ensure there are no surprises as you meander, skip or sprint down the path towards Teacher of the Year with Learners Edge professional development under your belt. 

The following terms and conditions (together with any documents referred to in them) (collectively, these “Terms”) your participation in Learners Edge courses, your use of our website or other services offered at http://www.learnersedge.com/, our online education portal, and through any mobile application we develop utilizing the tools from the website (collectively, our “System”). Your ordering and purchasing of Learners Edge courses and products will be governed by the applicable terms of use for such course or product.

Your use of our System means that you accept and agree to these Terms of Use.  If you do not agree to these Terms or our Privacy Policy,you do not access or use our System. 

We may revise and update these Terms at our sole discretion and will post any updates to the Terms on the Site.  Your continued use of our Site or System, or any other service provided through the Site or System, means that you accept and agree to the modified Terms. YOU ACKNOWLEDGE AND AGREE THAT LEARNERS EDGE SHALL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY MODIFICATION, SUSPENSION OR DISCONTINUANCE OF THIS SITE OR INFORMATION PROVIDED ON THIS SITE OR ACCESSED BY YOU THROUGH THIS SITE.

THIS AGREEMENT CONTAINS AN ARBITRATION PROVISION.

FOR NEW JERSEY RESIDENTS, TO THE EXTENT ANY TERM HEREOF (OR OF ANY RELATED AGREEMENT INCORPORATED HEREIN) IS SUBJECT TO THE NEW JERSEY TRUTH-IN-CONSUMER CONTRACT, WARRANTY AND NOTICE ACT (“TCCWNA”) AND SUCH TERM, IF ENFORCED AS PROVIDED HEREIN, IS CONTRARY TO OR VIOLATIVE OF ANY CLEARLY ESTABLISHED RIGHT YOU HAVE UNDER STATE OR FEDERAL LAW, SUCH OFFENDING TERM(S) SHALL BE DEEMED OMITTED FROM THESE TERMS (AND SUCH USER AGREEMENT), AND YOUR AGREEMENT TO THESE TERMS DOES NOT AND WILL NOT IN ANY WAY CONSTITUTE A WAIVER OF YOUR RIGHTS UNDER THE TCCWNA.

User Name and Password

In order to access certain portions of the System, and to register for a Learners Edge course, you may be required to register by providing information in a form requested by us (“Registration Form”). Any contact information you provide may be used by us in accordance with our Privacy Policy, which also allows you to manage your email subscription preferences. Learners Edge may accept or reject any Registration Form in its sole discretion. You represent that the information provided when registering is accurate, complete and current and that you will update such information from time to time as necessary. These Terms shall be incorporated into, and form an integral part of, each Registration Form. As part of the registration process, your email address will serve as your user name (“User Name”), and a password will be selected by you (“Password”) to access your account. Your User Name and Password will be your credentials to access the restricted portions of the System.

You are solely responsible for all use of the System under your User Name and Password and for maintaining the confidentiality of your User Name and Password. You will promptly notify Learners Edge of any actual or suspected unauthorized use of our Site or your User Name or Password. If you cannot remember your Password, you will be prompted to reset your Password by following the instructions on the Login page.

Intellectual Property 

You are granted a non-exclusive, non-transferable, revocable license to access and use the System for your personal use only. As a condition of your use of the System, you warrant that you will not use the System for any purpose that is unlawful or prohibited by these Terms. You may not use the System in any manner which could damage, disable, overburden, or impair the System, or interfere with any other party's use and enjoyment of the System. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the System. 

All content included as part of the System, such as text, graphics, audio, video, logos, images, as well as the compilation thereof, and any software used on the System, is our property or the property of our affiliates, assigns, licensors, subsidiaries, suppliers and/or other providers, and is protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content, and will not make any changes thereto. 

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the System. Our content is not for resale. Your use of the System does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without our express written permission. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to our intellectual property or our licensors, except as expressly authorized by these Terms. 

In the event you violate any of the Terms, or if your Subscription is not renewed, all rights and licenses granted to you hereunder shall immediately terminate. Any provision of these Terms that by its very nature or context is intended to survive any termination, cancellation or expiration hereof or thereof, including without limitation confidentiality and indemnification provisions, shall so survive.

Trademarks

Learners Edge, the Learners Edge logo and any other product or service name or slogan contained in the Site are trademarks of Learners Edge and its suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of Learners Edge or the applicable trademark holder. LEARNERS EDGE is a trademark of Learners Edge. All Rights Reserved. In addition, the look and feel of the Site and System, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark, and/or trade dress of Learners Edge and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned in the Site and System are the property of their respective owners.

Third Party Sites

The Site may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third-party functionality (e.g., use of social media on or through the Site)). We do not control such materials or websites and will not be responsible for their content, or for any breach of contract, or any intentional or negligent action on the part of such third parties, which results in any loss, damage, delay, or injury to you or others. Inclusion of any such materials or linked websites on the Site does not imply or constitute approval or endorsement of the linked website by us. If you decide to leave the Site to access these materials or third-party sites, you do so at your own risk. All rules, policies (including privacy policies), and operating procedures of websites operated by third parties will apply to you while viewing such materials or on such sites. We are not responsible for information provided by you to third parties.

User Content on the System 

To the extent portions of the Site allow you to comment or otherwise post regarding content on the Site (“User Content”), you may not post User Content that: 

    • Violates any copyright, trademark rights, patent rights, rights in know-how, privacy or publicity rights, trade secret rights, confidentiality rights, contract rights, or other rights of any individual or legal entity;
    • Is harmful; hateful; threatening; abusive; harassing; defamatory or libelous; sexually explicit, vulgar, lewd, obscene, or pornographic; racially, ethnically, or otherwise objectionable or offensive; inappropriate; or inflammatory;
    • You know (or reasonably should know) is false, deceptive, or misleading;
    • Contains information that could be used for identity theft purposes, such as social security numbers, credit card, bank account, or other financial information, driver’s license numbers, security codes, or passwords;
    • Links to materials or other content, directly or indirectly, to which you do not have a right to link or that violates these restrictions; or
    • Violates any applicable local, state, national, or international law

By posting User Content on the System, you are granting us a non–exclusive, worldwide, full paid–up and royalty–free, fully assignable, transferable, and sub-licensable license to use, copy, perform and display publicly, distribute, and prepare derivative works based on User Content, in whole or in part, throughout the universe in any form, format, or medium now or hereafter known. By posting User Content on the System, you represent and warrant that the posting of your User Content does not violate these Terms of Use or applicable laws. 

Learners Edge does not and shall not have any obligation to review User Content, and therefore we do not guarantee the accuracy, integrity, or quality of User Content and we cannot assure you that harmful, inaccurate, deceptive, offensive, threatening, defamatory, unlawful, or otherwise objectionable User Content will not appear on our System. We do, however, reserve the right to review any or all User Content in our sole discretion. In addition, we reserve the right to alter, edit, or remove any User Content, in whole or in part, at our sole discretion. 

Under no circumstances shall Learners Edge or its affiliates be liable in any way for any user content posted on or made available through the system. We do not control, have no obligation to monitor, and are not responsible for what users post, and are not responsible for any offensive, inappropriate, obscene, unlawful, infringing, or otherwise objectionable or illegal User Content on the System. 

Digital Millennium Copyright Act Policy 

Our policy is to respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act (“DMCA”). 

If you believe that any content on the System infringes on the intellectual property of a third party, you may send it to marketing@learnersedge.com. To submit a claim, you must identify your full name, mailing address and phone number, a description of the copyrighted work that has been infringed, a description of the content on the System that infringes upon the copyright, and a declaration that: (i) you, in good faith, believe the information is infringing on the copyright of a third party, (ii) the information you include in your notice is accurate, and (iii) you are authorized on behalf of the copyright owner to submit the claim. You may not submit a copyright claim on behalf of another individual or organization with which you have no affiliation. 

Links to Other Websites and Connecting through Social Media 

The System may contain hyperlinks to websites operated by third parties. We do not control such websites and will not be responsible for their content, or for any breach of contract, or any intentional or negligent action on the part of such third parties, which results in any loss, damage, delay, or injury to you or your companions. If you decide to leave the System to access these third-party sites, you do so at your own risk. All rules, policies (including privacy policies), and operating procedures of websites operated by third parties will apply to you while on such sites. We are not responsible for information provided by you to third parties. 

Indemnification 

You agree to indemnify, defend, and hold harmless Learners Edge, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the System, any claim that your content violates the intellectual property rights of a third party, your violation of these Terms, or your violation of any rights of a third party or your violation of any applicable laws, rules, or regulations. We reserve the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses. 

Electronic Communications 

Visiting the Site, using the System, or sending emails to us constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email, and on the System, satisfy any legal requirement that such communications be in writing. To opt out of receiving marketing emails from us, follow the “unsubscribe” link on the email to change your user preferences. There are certain system-generated and legal notices that you cannot opt out of without deactivating your account. 

Warranty and Limitation of Liability 

Learners Edge and/or its affiliates or suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained on the system for any purpose and make no representation that any Learners Edge course will meet your specific needs. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without warranty or condition of any kind.  Learners Edge and/or its suppliers hereby disclaim all warranties and conditions with regard to the system and related information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement. 

To the maximum extent permitted by applicable law, in no event shall Learners Edge and/or its affiliates, licensors, service providers, employees, agents, officers, directors, or suppliers be liable for any direct, indirect, punitive, incidental, special, or consequential damages or any damages whatsoever, including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the system, with the delay or inability to use the system, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the system, or otherwise arising out of the use of the system or the application, whether based on contract, tort, negligence, strict liability or otherwise, even if Learners Edge or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In no event will Learners Edge’s aggregate liability, or that of its officers, directors, employees, and agents, arising out of or in connection with Learners Edge courses exceed the amount paid by you for Learners Edge courses. If you are dissatisfied with any portion of the system, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the system. 

Arbitration

PLEASE READ THIS CAREFULLY. WE WANT YOU TO KNOW HOW IT AFFECTS YOUR RIGHTS. By using this Site, you agree that Learners Edge, at its sole discretion, may require you to submit any disputes arising from the use of the Site or System, or these Terms concerning or, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance or termination, to final and binding arbitration under the International Rules of Arbitration of the American Arbitration Association, by one or more arbitrators appointed in accordance with the said Rules. Notwithstanding these rules, however, such proceeding shall be governed by the laws of the state Minnesota. Any award in an arbitration initiated under this clause shall be limited to monetary damages (as further limited herein) and shall include no injunction or direction to any party other than the direction to pay a monetary amount. Further, the arbitrator(s) shall have no authority to award punitive, consequential or other damages not measured by the prevailing party’s actual damages in any arbitration initiated under this section, except as may be required by statute.

Governing Law, Venue and Jurisdiction 

These Terms shall be treated as though they were executed and performed in Minnesota and shall be governed by the laws of the State of Minnesota and the laws of the United States without regard to conflict of law principles. Any claim or dispute related to the System or under these Terms of Use, the Privacy Policy, and any legal notices on this System, must be instituted within one (1) year after the claim arose (if multiple claims, from the date the first claim arose), or be forever waived and barred. You agree that you will bring any claims in, and submit to the exclusive jurisdiction of, the state and federal courts located in the County of Hennepin, in the State of Minnesota. 

Entire Agreement 

These Terms of Use, together with our Privacy Policy are the entire agreement between you and us related to your use of the System. 

Use of Information 

All of the information you provide during your registration process and submitted/graded coursework with Learners Edge (except financial information) will be shared with instructors, evaluators, staff, and the chosen academic partner (university or college) out of the list of eligible partners in order to facilitate the registration process and your ability to request a transcript upon successful completion of your course with that university or college. We will also communicate with you, the student, on your coursework progress and final grade via the email that you provide during registration. Please see our Privacy Policyfor a full description of the information we collect, use, manage, disclose and share. 

NOTICE OF IMMUNITY FROM LIABILITY FOR CONFIDENTIAL DISCLOSURE OF A TRADE SECRET TO THE GOVERNMENT OR IN A COURT FILING: Notwithstanding anything herein to the contrary, under the Federal Defend Trade Secrets Act of 2016, an individual may not be held criminally or civilly liable under any Federal or state trade secret law for the disclosure of a trade secret that: (A) is made (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and (ii) solely for the purpose of reporting or investigating a suspected violation of law; or (B) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. An individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding if the individual files any document containing the trade secret under seal and does not disclose the trade secret except pursuant to court order. Nothing herein is intended, or should be construed, to affect the immunities created by the Defend Trade Secrets Act of 2016.

Accessing this Site in locations where the use of such content is illegal is prohibited.
